CleanCore Sells 463M DOGE To Fund AI Pivot

The firm dumped $33.4 million worth of Dogecoin to exit its crypto treasury strategy and rebuild as an AI data center operator.

According to an SEC filing, CleanCore completely liquidated its 463 million DOGE stash. Management is ditching its crypto-first balance sheet model to redeploy capital into artificial intelligence infrastructure.

The new path

CleanCore is now launching a public offering of common stock and warrants to raise fresh capital. Placement agent Curvature Securities LLC will handle the raise in exchange for an 8% fee on gross proceeds.

Proceeds from the sale, combined with the DOGE liquidation, will seed a $500 million, five-year buildout of AI data centers.

"We are shifting from holding crypto assets to building physical computing infrastructure. The AI market demands scalable data centers, and that’s precisely where we’re directing our resources," CleanCore representatives stated.

SEC's limits

To entice institutional buyers, CleanCore is offering Pre-Funded Warrants, allowing large investors to bypass standard 4.99% or 9.99% beneficial ownership caps.

The company trades on the NYSE American under the ticker ZONE. Thanks to its public market cap rising to $79.629 million (surpassing the $75.000 million threshold), the SEC lifted Form S-3 offering limits on the company.

Final closing of the equity offering is slated for August 2026, subject to customary closing conditions.

Despite the massive $33.4 million sell-off, DOGE barely flinched. According to CoinMarketCap, the memecoin traded virtually flat at $0.0921 following the announcement.
