Avalanche Treasury Announces $675 Million Merger With MLAC

Avalanche Treasury Co. has entered into a business combination agreement with Mountain Lake Acquisition Corp. (Nasdaq: MLAC) valued at more than $675 million.

According to the press release, the new company plans to form an Avalanche ecosystem treasury exceeding $1 billion and list on Nasdaq in the first quarter of 2026, subject to regulatory and shareholder approval.

The deal includes about $460 million in treasury assets, with additional capital raised through a private placement of shares. Investors are offered entry at a 0.77x multiple of net asset value (mNAV), which represents a 23% discount compared to direct AVAX purchases or ETF equivalents.

The first step will involve acquiring AVAX at a discount to the market price, along with an 18-month priority window for participating in token sales from the Avalanche Foundation for treasury firms in the United States.

The company intends to accumulate more than $1 billion in AVAX to secure its position as a key institutional player in the ecosystem. Funds will be allocated across three directions: targeted investments in protocols to stimulate transactional activity, support for corporate partnerships in tokenization of real-world assets, stablecoins and payments, and validator infrastructure for institutional L1 launches.

The deal has attracted a wide range of institutional and crypto-focused investors, including Dragonfly, ParaFi Capital, VanEck, FalconX, Monarq, Galaxy Digital, Pantera Capital, CoinFund, IMC, Kraken, Borderless, and Hunting Hill. FalconX will provide execution and lending services, while Monarq will manage part of the assets.

Closing of the transaction is expected in the first quarter of 2026. After completion, the company will begin deploying capital to support strategic Avalanche projects and validator infrastructure.
